1. The shares were acquired under the Issuer's Employee Stock Purchase Plan (the "ESPP") in transactions that were exempt under both Rule 16b-3(d) and Rule 16b-3(c).

2. The purchase price reflects a 15% discount to the closing price of the Issuer's Common Stock on the purchase date pursuant to the provisions of the ESPP.
