Item 1.01 Entry into a Material Definitive Agreement
On May 22, 2025, AA Mission Acquisition Corp. (the “Company”) issued an unsecured, convertible promissory note to AA Mission Acquisition Sponsor Holdco LLC (the “Sponsor”) in the aggregate principle amount of $1,000,000 (the “Note”). The Note will be payable promptly after the Company consummates an initial business combination. The Note may be converted into units of the post-business combination entity at a price of $10.00 per unit (the “Units”). The Units would be identical to the private placement units which were sold in the Company’s initial public offering; each Unit consisting of one Class A ordinary share of the Company, par value $0.0001 per share (each, a “Class A Ordinary Share”), and one-half of one redeemable warrant (“Warrant”) with each whole Warrant entitling the holder thereof to purchase one Class A Ordinary Share at a price of $11.50 per share.
