Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

AAR CORP. (the "Company") is filing this amendment to its Current Report on Form 8-K filed on March 17, 2023, which reported the appointment of John W. Dietrich to the Company's Board of Directors (the "Board"). At the time of the appointment, the Board had not appointed Mr. Dietrich to any of its committees.

On July 12, 2023, the Board appointed Mr. Dietrich to the Board’s Audit Committee and Human Capital and Compensation Committee, in each case effective as of September 19, 2023 (or such other date of the Company’s annual meeting as may be determined by the Board).
