Item 7.01. Regulation FD Disclosure.
On December 17, 2025, AAR CORP. (the “Company”) issued a press release announcing the entry into a definitive agreement by its wholly-owned subsidiary AAR Aircraft Services, Inc. to purchase Aircraft Reconfig Technologies LLC, a leading aircraft interiors engineering company, from ZIM Aircraft Cabin Solutions LLC. A copy of the press release is furnished and attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
The information in this Item 7.01 and Exhibit 99.1 attached hereto shall not be deemed “filed” for purposes of Section 18 of the Exchange Act, nor shall it be deemed incorporated by reference in any filing under the Securities Act, except as shall be expressly set forth by specific reference in such filing.
Item 8.01. Other Events.
On December 17, 2025, AAR Aircraft Services, Inc., a wholly-owned subsidiary of the Company, entered into a definitive agreement to acquire Aircraft Reconfig Technologies LLC for a purchase price of $35 million in cash, subject to customary post-closing adjustments for working capital, cash, and debt.
