Item 5.02

Departure of Directors or Certain Officers; Appointment of Certain Officers.

Effective June 29, 2023, Robert A. Michael has been appointed President and Chief Operating Officer. Mr. Michael will continue to oversee AbbVie’s global commercial and financial operations. He will also be responsible for operations, human resources, business development and corporate strategy.
