On December 27, 2025, Byron C. Scott, a Class II director of Accuray Incorporated (the “Company”), informed the Company’s Board of Directors (the “Board”) that he will retire from the Board, including all committees of the Board on which he sits, effective December 31, 2025. The decision by Mr. Scott to retire from the Board is not due to any disagreement with the Company or the Board, or any matter relating to the Company’s operations, policies or practices.
