(“ESS”), to the U.S. Securities and Exchange Commission (the “SEC”) for the sole purpose of furnishing, as Exhibit 99.1 to this Form 8-K, a press release announcing the closing of the previously announced business combination between ACON S2 Acquisition Corp. and ESS.
