Item 7.01 Regulation FD Disclosure
On January 13, 2025, Aditxt, Inc. (the “Company”) issued a press release announcing that its Board of Directors has authorized management to explore taking its subsidiary, Pearsanta, Inc. (“Pearsanta”) public via a proposed initial public offering in 2025. A copy of the press release is furnished to this Current Report on Form 8-K as Exhibit 99.1
The Company can provide no assurance that the proposed initial public offering of Pearsanta will occur in 2025, if ever. Management is undertaking preliminary exploratory measures regarding a potential initial public offering of Pearsanta and the Board of Directors will continue to evaluate all strategic possibilities consistent with its fiduciary duties. Any decision with respect to a potential transaction remains subject to approval by the Company’s Board of Directors. In addition, consummation of the initial public offering is subject to market conditions.
