Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 15, 2024, Tirukkur R. “T. R.” Ramachandran, our Chief Operating Officer, notified us of his resignation from employment at AEye, Inc. (the “Company”), effective April 5, 2024, to accept a position at an employer in an unrelated industry. Mr. Ramachandran’s resignation did not result from any disagreement with the Company concerning any matter relating to the Company’s operations, policies, or practices. The Company thanks Mr. Ramachandran for his contributions and wishes him well in his new endeavor.
