Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 21, 2022, Wadih Jordan sent notice of his resignation as a director at Agenus Inc. (the "Company"), effective as of December 31, 2022. He is fully retiring after approximately twenty years of service as a member of the Company's board. Mr. Jordan did not step down as a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
