1. Represents shares of Common Stock purchased by the reporting person at the public offering price in connection with the issuer's underwritten public offering of Common Stock, which closed on January 29, 2024.

2. The reporting person's purchase of Common Stock reported herein was matchable under Section 16(b) of the Securities Exchange Act of 1934, as amended, to the extent of 9,400 shares, with the reporting person's sales of 5,300 shares of Common Stock at $1.0947 per share on 09/11/2023, 2,600 shares of Common Stock at $0.5903 per share on 11/21/2023, and 1,500 shares of Common Stock at $0.7220 per share on 12/18/2023. The reporting person has paid to the issuer $3,695, representing the full amount of the profit realized in connection with the short-swing transaction.
