Item 1.01 Entry into a Material Definitive Agreement
On April 17, 2025, Akamai Technologies, Inc. (the “Registrant”) entered into an Amendment No. 1 (the “First Amendment”) by and among the Registrant, the financial institutions identified therein as lenders and JPMorgan Chase Bank, N.A., as administrative agent (the “Agent”), which amends that certain Credit Agreement, dated November 22, 2022, by and among the Registrant, the financial institutions party thereto as lenders and the Agent. The First Amendment, among other things, removes the credit spread adjustment that was applicable to SOFR borrowings.
The description of the First Amendment contained herein is qualified in its entirety by reference to the First Amendment, a copy of which is filed herewith as Exhibit 10.1 and is incorporated herein by reference.
