Explanation of Responses:

1. The common stock options were issued to the Reporting Person on December 5, 2023 pursuant to the Amended and Restated 2016 Omnibus Incentive Plan. The award is subject to time-based vesting and will vest in equal quarterly installments during the three calendar years through 2026. The portion of the stock options exercised in this transaction was fully vested and exercisable on the transaction date.
