On September 26, 2024, Alerus Financial Corporation, a Delaware corporation (the “Company”), and HMN Financial, Inc., a Delaware corporation (“HMNF”), issued a joint press release announcing the results of the special meetings of their respective stockholders, and the receipt of regulatory approval of the merger of HMNF with and into the Company, with the Company as the surviving corporation (the “Merger”). A copy of the press release is attached to this report as Exhibit 99.1, which is incorporated herein by reference.
