Item 7.01 Regulation FD Disclosure.

On January 6, 2025, Allegro MicroSystems, Inc. (the “Company”) launched a process to refinance in full the Company’s existing term loans with a new tranche of term loans (the “Refinancing and Repricing Facility”), which is currently expected to consist of a $375 million U.S. dollar-denominated first lien term facility. Morgan Stanley Senior Funding, Inc. is expected to serve as administrative agent for the Refinancing and Repricing Facility.

Terms of the potential refinancing and the Refinancing and Repricing Facility will be disclosed upon the completion of the transaction. The proposed refinancing is subject to market and other conditions, and there can be no assurance that it will be completed on favorable terms or at all.
