Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 16, 2025, Peter Tassiopoulos was suspended by the Board of Directors of Alt5 Sigma Corporation (the “Company”) and removed of his duties as Chief Executive Officer. His suspension is effective immediately, with pay. Jonathan Hugh has assumed Mr. Tassiopoulos’s duties as Acting Chief Executive Officer. Mr. Hugh will remain in his current position while carrying out such additional responsibilities.
