Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 16, 2023, in connection with her resignation from ValueAct Capital, an investor of Altus Power, Inc. (the “Company”), to co-found an investment firm, Sarah Coyne submitted her resignation as a member of the Board of Directors (the “Board”) and a member of the Audit Committee and of the Nominating and Corporate Governance Committee of the Company, and the resignation was effective as of such date. The Company appreciates Ms. Coyne’s dedicated service to the Board and wishes her well in her new professional endeavors. There were no disagreements between the Company and Ms. Coyne that led to her decision to resign. The Company will be conducting a search to fill the vacancy resulting from Ms. Coyne’s resignation consistent with director nomination process described in the Company’s Proxy Statement for the 2023 Annual Meeting of Stockholders, which includes diversity as a criterion.
