Explanatory Note
This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K filed with the Securities and Exchange Commission on February 26, 2025 (the “Original Form 8-K”). Following the submission of the Original Form 8-K, the Company discovered that the incorrect item number was inadvertently tagged in the submission header. Item 5.02 should have been tagged instead of Item 9.01. The Company is amending the Original Form 8-K for the sole purpose of correcting the item tag in the submission header. No disclosure has changed from the Original Form 8-K.
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On February 24, 2025, Bill Wagner, a member of the Board of Directors (the “Board”) of Akamai Technologies, Inc. (the “Company”), notified the Company of his intent to resign from the Board, effective immediately, due to his acceptance of a new role as Chief Executive Officer of Semrush Holdings, Inc. Mr. Wagner’s decision to resign was not the result of any disagreement with the Company on any matters relating to the Company’s operations, policies or practices. The Company and the Board would like to thank Mr. Wagner for his service on the Board and his contributions to the Company.
