    Explanatory Note

    This Amendment No. 1 to the Current Report on Form 8-K amends Item 5.02 of the Current Report on Form 8-K filed on March 11, 2025 (the “Original Form 8-K”) solely to reflect compensation granted in connection with the promotion disclosed in the Original Form 8-K. No other changes have been made to the Original Form 8-K.


    SECTION 5 - CORPORATE GOVERNANCE AND MANAGEMENT

    Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

    As previously disclosed, Jeffrey J. Scissons has been named Vice President, Chief Financial Officer and Corporate Treasurer (“CFO”) of ALLETE, Inc. (the “Company”), effective as of March 11, 2025 (the “Effective Date”).

    In connection with his appointment as the Company’s CFO, the Executive Compensation and Human Capital Committee of the Company’s Board of Directors approved the following compensation arrangements for Mr. Scissons: (i) base salary of $360,011 per year effective as of the Effective Date; (ii) an annual incentive plan (“AIP”) opportunity of 60% of Mr. Scissons’s base salary effective as of March 1, 2025; and (iii) a total long-term incentive plan (“LTIP”) opportunity of $300,000 effective as of March 1, 2025, consisting of time-based restricted stock units (“RSUs”) representing 25% of the LTIP opportunity, which will vest in full three years from the date of grant, and performance share awards (“PSAs”) representing 75% of the LTIP opportunity (at target). The PSAs will vest, if at all, on December 31, 2027, subject to achievement of applicable performance metrics and Mr. Scissons continued service on such date.

    Under the Company’s change in control severance plan, Mr. Scissons could receive severance benefits in connection with a change in control of the Company, including a lump sum severance payment equal to two times his annual cash compensation. For more information regarding these severance benefits, please refer to the “Severance Benefits” section within the Compensation Discussion and Analysis (“CD&A”) section of the Company’s definitive proxy statement filed with the Securities and Exchange Commission (“SEC”) on March 28, 2024 (the “2024 Proxy”).

    In addition, Mr. Scissons will be eligible to participate in: (i) the benefit programs available to executive officers of the Company, including, without limitation, participation in the ALLETE and Affiliated Companies Retirement Savings and Stock Ownership Plan and the ALLETE and Affiliated Companies Supplemental Executive Retirement Plan, as described under “Retirement and Other Broad-Based Benefits” within the CD&A section of the 2024 Proxy; and (ii) the limited perquisites described under “Perquisites” within the CD&A section of the 2024 Proxy.
