Explanatory Note

This Form 8-K/A amends the Current Report on Form 8-K filed by Capital Bancorp, Inc. (the "Company") on January 26, 2026 solely to amend the payment date of the Company's regular quarterly dividend disclosed in Item 8.01. The payment date will be February 25, 2026. No additional changes to the Form 8-K and the exhibits thereto as originally filed have been made.

Item 8.01 Other Events.

On January 23, 2026, the Company's Board of Directors declared a $0.12 per share dividend, payable on February 25, 2026 to stockholders of record on February 9, 2026.
