Explanation of Responses:

1. The original Form 4, filed on March 2, 2026, is being amended and restated in its entirety to reduce the number of shares of common stock of Sanara MedTech Inc. (the "Issuer") withheld by the Issuer to satisfy tax withholding obligations in connection with the annual vesting of 1,446 shares of restricted stock previously granted to the Seth D. Yon (the "Reporting Person"). The original Form 4 mistakenly indicated that the Issuer withheld 491 shares of common stock, when in fact, as reported in this amendment, the Issuer withheld 414 shares of common stock.

2. Represents shares of common stock of the Issuer withheld by the Issuer to satisfy tax withholding obligations in connection with the annual vesting of 1,446 shares of restricted stock previously granted to the Reporting Person. No shares were issued or sold in this transaction. The per-share value assigned to the shares withheld reflects the price per share on the date on which the shares vested as reported on the Nasdaq Capital Market.
