Explanation of Responses:

1. The sales reported in this amended Form 4 were effected to cover tax withholding obligations in connection with the vesting of restricted stock units ("RSUs") that were granted on March 28, 2022 and April 28, 2022 pursuant to a "sell to cover" provision included in the RSU Agreement.

Remarks:

This amended Form 4 is being filed to correct the transaction date and the number of shares in Table I, Columns 4 and 5.
