1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $10.25 to $10.31, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in this footnote.

Remarks:

This amendment is being filed to correct the amount previously reported in Column 5 of Table I in the Reporting Person's prior Form 4 filed on June 14, 2024 (the "Amendment"). The amount reported in Column 5 of Table I of this Amendment correctly reflects the number of shares of common stock held by the Reporting Person as of the date of the filing of this Amendment.
