Explanation of Responses:

1. Reflects grant of restricted share units that, subject to certain acceleration and forfeiture provisions, vest in three equal installments on each of the first, second and third anniversary of the grant date. Restricted share units accrue dividend equivalent units and convert to ordinary shares upon vesting.

2. This amendment is being filed to reflect beneficial ownership of 35 shares of JCI common stock held by the reporting person at the time of the original filing.

3. Reflects grant of restricted share units that, subject to certain acceleration and forfeiture provisions, vest on the first anniversary of the grant date. Restricted share units accrue dividend equivalent units and convert to ordinary shares upon vesting.
