Explanatory Note
On November 6, 2024, Forian Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Report”) with the Securities and
Exchange Commission to report under Items 1.01 and 2.01 thereof the Company’s acquisition of Kyber Data Science LLC (“Kyber”) on October 31, 2024 (the “Transaction”).
This Amendment No. 1 on Form 8-K/A amends the Original Report to include the consolidated financial statements of Kyber as required
under Item 9.01(a) of Form 8-K and the pro forma financial information as required under and Item 9.01(b) of Form 8-K, which were not included in the Original Report. No other amendments to the Original Report are being made by this Amendment No.
1.
The unaudited pro forma condensed combined financial statements in this Amendment No. 1 have been presented for informational purposes
only, as required by Form 8-K in accordance with Article 11 of Regulation S-X, and are not intended to represent or to be indicative of the income or financial position that the Company would have reported had the Transaction been completed as of
the dates set forth in the unaudited pro forma condensed combined financial statements due to various factors. The unaudited pro forma condensed combined statement of financial position does not purport to represent the future financial position of
the Company and the unaudited pro forma condensed combined statements of operations do not purport to represent the future results of operations of the Company.
