Explanatory Note

This current report on Form 8-K/A (the Amendment) amends the current report on Form 8-K filed by Markel Group Inc. (the Company) with the U.S. Securities and Exchange Commission on March 17, 2025 (the Original Form 8-K). The Original Form 8-K reported, among other things, the appointment of Jonathan E. Michael to the Company's Board of Directors (the Board), effective March 15, 2025. The sole purpose of this Amendment is to report the appointment of Mr. Michael to the Audit Committee of the Board. No other changes have been made to the Original Form 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 20, 2025, the Board approved the appointment of Jonathan E. Michael to the Audit Committee of the Board, which became effective upon Mr. Michael’s election as a director of the Company at the Company's 2025 Annual Meeting of Shareholders held May 21, 2025.
