Explanation of Responses:

1. The original Form 3 filed on February 21, 2025 is being amended solely to correct the number of restricted stock units ("RSUs") held by the Reporting Person. 9,880 RSUs will vest subject to (x) Issuer's achievement of a specified performance goal and (y) reporting person's continued performance of services for Issuer. 13,760 RSUs will vest subject to (x) passage of a specified period of time and (y) reporting person's continued performance of services for Issuer.
