Item 8.01 Other Events.

On July 24, 2024, the Board of Directors of Resources Connection, Inc. (the “Company”) approved a dividend of $0.14 per share on the Company’s common stock.  The dividend is payable on September 20, 2024, to stockholders of record at the close of business on August 23, 2024.  The Board of Directors will assess and approve future dividends quarterly. The full text of the Company’s press release, issued on July 25, 2024, announcing the quarterly dividend payment is included as Exhibit 99.1 to this report.
