Explanation of Responses:

1. The Reporting Person's Series A Convertible Preferred Stock are convertible into shares of common stock at a ratio of 1.4 shares of common stock for each share of Series A Convertible Preferred Stock, subject to a 19.99% beneficial ownership limitation. Series A Convertible Preferred Stock vote on matters of the Issuer on an as-converted basis, without regard to such beneficial ownership limitation. The right to convert does not expire.

2. The warrant does not have an expiration date. The right of the Reporting Person to receive the underlying shares of common stock of the warrant is subject to a 19.99% beneficial ownership limitation.

Remarks:

This Form 3 is an amendment to the original Form 3 of the Reporting Person, filed on February 28, 2025. The purpose of this amendment is to correct the initial numbers of securities in Table I and Table II beneficially owned by the Reporting Person reported in the original Form 3.
