EXPLANATORY NOTE

This report on Form 6-K/A (the “Amendment”) amends the report on Form 6-K filed on April 28, 2025 (the “Original 6-K”) in connection with the Management’s Discussion and Analysis of Financial Condition and Results of Operations of Fitell Corporation (the “Company”), and the unaudited consolidated financial statements of the Company for the six months ended December 31, 2024 and 2023. The purpose of this Amendment is solely to incorporate by reference the Company’s registration statement on Form F-3, as set forth below.

Except as described above, this Amendment speaks as of the original filing date of the Original 6-K and does not amend, update or restate any information set forth in the Original 6-K or reflect any events that occurred subsequent to the original filing date of the Original 6-K.
