EXPLANATORY NOTE: ORIX Corporation hereby amends its report on Form 6-K furnished to the SEC on May 26, 2026 (the “Original Form 6-K”) solely to correct three figures included in the Information Materials for the 63rd Annual General Meeting of Shareholders included as Exhibit 99.2 to the Original Form 6-K, as shown in Exhibit 99.1 hereto. Other than the filing of Exhibit 99.1, 99.2 and 99.3, no part of the Original Form 6-K is being amended hereby.

2.	Notice of the 63rd Annual General Meeting of Shareholders

EXPLANATORY NOTE: ORIX Corporation hereby amends its report on Form 6-K furnished to the SEC on May 26, 2026 (the “Original Form 6-K”) solely to add one page to disclose the correction of three figures included in the Information Materials for the 63rd Annual General Meeting of Shareholders included as Exhibit 99.2 to the Original Form 6-K, as shown in Exhibit 99.1 hereto. The updated Notice is included as Exhibit 99.2 hereto. Other than the filing of Exhibit 99.1, 99.2 and 99.3, no part of the Original Form 6-K is being amended hereby.
