EXPLANATORY NOTE

This Report on Form 6-K/A (this “Report”) amends the Report on Form 6-K filed by Erayak Power Solution Group Inc. (the “Company”) on November 6, 2024 (the “Original 6-K”) solely to incorporate by reference the information contained on this Report into the registration statements of the Company, as indicated in the section “Incorporation by Reference” below.

Except as described above, this Report speaks as of the original filing date of the Original 6-K and does not amend, update or restate any information set forth in the Original 6-K or reflect any events that occurred subsequent to the original filing date of the Original 6-K.

INFORMATION CONTAINED IN THE ORIGINAL REPORT ON FORM 6-K

On November 4, 2024, the Company received a letter from Nasdaq confirming that the Company regained compliance with the minimum bid price requirement set forth in Rule 5550(a)(2) of the Nasdaq Listing Rules. For ten consecutive business days, beginning from October 21, 2024 to November 1, 2024, the closing bid price of the Company’s Class A ordinary shares has been at $1.00 per share or greater, and therefore the Company has regained compliance with the minimum bid price requirement.
