Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 18, 2025, Veradigm Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial Form 8-K”) to announce, among other things, the appointment of Mr. Jonathan Sacks to the Company’s board of directors (the “Board”), effective March 19, 2025. At the time the Initial Form 8-K was filed, the Board had not yet determined on which Board committees, if any, Mr. Sacks would serve.

This Amendment No. 1 to the Initial Form 8-K is being filed to report that on April 10, 2025, the Board appointed Mr. Sacks to serve as a member of the Nominating and Governance Committee of the Board, effective immediately.
