    The following constitutes Amendment No. 4 (this "Amendment No. 4") to the Schedule 13D filed by the undersigned on July 1, 2021 (the "Original Schedule 13D"), as amended by Amendment No. 1 thereto filed by the undersigned on May 26, 2022 ("Amendment No. 1"), by Amendment No. 2 thereto filed by the undersigned on July 22, 2024 (“Amendment No. 2”) and by Amendment No. 3 filed by the undersigned on July 29, 2024 (“Amendment No. 3”, and the Original Schedule 13D as amended by Amendment No. 1, Amendment No. 2, Amendment No. 3 and this Amendment No. 4, the "Schedule 13D"), with respect to the shares of Common Stock of Angel Oak Mortgage REIT, Inc., a Maryland corporation (the "Issuer"). Capitalized terms used herein and not otherwise defined in this Amendment No. 4 have the meanings set forth in the Schedule 13D. This Amendment No. 4 amends Items 5(a)-(c), as set forth below.

     

    Item 5. INTEREST IN SECURITIES OF THE ISSUER
       
    Items 5(a)-(c) of the Schedule 13D are hereby amended and restated as follows:
       
    (a) See rows (11) and (13) of the cover pages to this Schedule 13D for the aggregate number of shares of Common Stock and percentages of the Common Stock beneficially owned by each of the Reporting Persons.  The percentages used in this Schedule 13D are calculated based upon 23,322,816 shares of Common Stock issued and outstanding as of August 7, 2024, as reported in the Issuer's Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2024 filed with the Securities and Exchange Commission on August 7, 2024.
       
    (b) See rows (7) through (10) of the cover pages to this Schedule 13D for the number of shares of Common Stock as to which each Reporting Person has the sole or shared power to vote or direct the vote and sole or shared power to dispose or to direct the disposition.
