The shares of Common Stock beneficially owned by the reporting person consist of 544,005 shares of Common Stock and shares of Series B-3 Convertible Preferred Stock that are convertible into 240,210 shares of Common Stock. The Series B-3 Convertible Preferred Stock is subject to a 9.99% beneficial ownership limitation. The percentages reported in this Schedule 13G are based on 5,543,518 shares of Common Stock outstanding as of August 12, 2024, as reported in the Form 10-Q filed by the Issuer on August 14, 2024.
