The amounts reported herein assume the exercise of warrants held by the Reporting Persons to purchase 166,666 shares of Common Stock (the "Warrants"). The ownership percentages reported are based on 8,494,584 shares of Common Stock outstanding as of March 31, 2025, as reported in the Issuer's Prospectus filed pursuant to Rule 424(b)(5) with the Securities and Exchange Commission on May 1, 2025, and assume the exercise of the Warrants for 166,666 shares of Common Stock.
The Master Fund holds Warrants exercisable for 166,666 shares of Common Stock. Perceptive Advisors serves as the investment manager to the Master Fund and may be deemed to beneficially own such shares of Common Stock. Mr. Edelman is the managing member of Perceptive Advisors and may be deemed to beneficially own such shares of Common Stock. | |
