Explanatory Note

This Form 8-K/A is being filed as an amendment to the Current Report on Form 8-K filed on January 24, 2025 (the “Original Form 8-K”) by Sierra Bancorp (the “Company”) solely for the purpose of correcting the shareholder record date to February 3, 2025. This Form 8-K/A does not amend or modify the Original Form 8-K in any other respect.

Item 8.01 Other Events.

On January 23, 2025, the Board of Directors of Sierra Bancorp (the “Company”) approved a cash dividend to shareholders. The quarterly cash dividend of twenty-five cents ($0.25) per share of common stock will be payable on February 14, 2025, to shareholders of record at the close of business on February 3, 2025.

The press release issued by the Company in connection with the dividend is included as Exhibit 99.1 to this Current Report on Form 8-K and incorporated into this Item 8.01 by reference.
