This current report on Form 8-K/A amends the current report on Form 8-K filed on December 29, 2025. As part of Mr. George Kao’s departure, the Company entered into an Independent Contractor Agreement with Mr. Kao (“Independent Contractor Agreement”) that includes his acting as a consultant to the Company for a 3-month term for $10,000 per month.
The foregoing description of the Independent Contractor Agreement does not purport to be a complete description of the rights and obligations of the parties thereunder and is qualified in its entirety by reference to the Independent Contractor Agreement, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
