Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 25, 2024, Edward Cong Wang resigned as a member of the Company’s Board of Directors. Mr. Wang had served as a Director and Chief Financial Officer of the Company prior to the Company’s business combination and had agreed to remain as nominee of the Company’s original sponsor.
