Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 24, 2022, the Board of Directors (the “Board”) of Elevance Health, Inc. (the “Company”) elected Deanna Strable-Soethout to serve as an independent director effective November 1, 2022, with a term expiring at the Company’s 2023 annual meeting of shareholders. The Board also appointed Ms. Strable-Soethout to the Audit and Governance Committees of the Board. There is no arrangement or understanding between Ms. Strable-Soethout and any other person pursuant to which she was elected to the Board, and Ms. Strable-Soethout has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K of the Securities Exchange Act of 1934, as amended. The Board has determined that Ms. Strable-Soethout qualifies as an “audit committee financial expert” as defined in the Securities and Exchange Commission regulations.
Ms. Strable-Soethout will receive compensation for her services as a director in accordance with the Company’s standard compensation program for non-employee directors, which is filed as Exhibit 10.7 to the Company’s Quarterly Report on Form 10-Q for the quarter ended June 30, 2022.
