On November 29, 2022, Apollo Endosurgery, Inc. (the “Company” or “Apollo”) issued a press release announcing the execution of an Agreement and Plan of Merger, by and among the Company, Boston Scientific Corporation, a Delaware corporation (“Parent” or “Boston Scientific”), and Textile Merger Sub, Inc., a Delaware corporation and an indirect wholly owned subsidiary of Parent (the “Merger Agreement”). A Copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
