Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On April 4, 2024, Sung Yi, Ph.D. advised the Board of Directors (“Board”) of Aqua Metals, Inc. (“Company”) of his decision not to stand for reelection to the Board at the Company’s 2024 annual meeting of stockholders, to be held in May 2024. Dr. Yi’s decision not to stand for reelection to the Board was not related to any disagreement with the Company on any matter relating to its operations, policies or practices. Dr. Yi intends to remain on the Board of the Company until his present term expires upon the conclusion of the Company’s 2024 annual meeting of stockholders.
