Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 6, 2021, the Board of Directors (the “Board”) of Arbor Realty Trust, Inc. (the “Company”) increased the size of the Board from nine (9) to ten (10) members. In connection therewith, the Board appointed Caryn Effron, age 60, as a Class I director in order to fill the newly created vacancy, effective as of December 6, 2021. There was no arrangement or understanding between Ms. Effron and any other person pursuant to which Ms. Effron was appointed as a director. Ms. Effron was appointed to serve on the Corporate Governance and Compensation Committees.

Ms. Effron’s compensation will be based on the compensation program described in the Company’s Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 30, 2021.
