Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 21, 2025, Arcus Biosciences, Inc. (the “Company”) announced that Richard Markus, M.D., Ph.D. has been appointed as the Company’s Chief Medical Officer, effective January 31, 2025, and that Dimitry Nuyten, M.D., Ph.D. will depart from the Company on January 31, 2025. Consistent with the terms of the Company’s Severance Benefits Plan, Dr. Nuyten entered into a customary separation agreement pursuant to which he is eligible to receive (i) a lump sum payment equal to twelve (12) months of his base salary, (ii) COBRA continuation coverage for up to 12-months and (iii) an additional cash payment in consideration of Dr. Nuyten’s 2024 annual bonus.
The foregoing description of the separation agreement does not purport to be complete, and is qualified in its entirety by reference to the final separation agreement, a copy of which will be filed with the Company’s public filings after execution.
