Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Javier San Martin, M.D., the Chief Medical Officer of Arrowhead Pharmaceuticals, Inc. (the “Company”), will be leaving the Company, effective as of February 1, 2024. The Company would like to thank Dr. San Martin for his service and for the many contributions he made as Chief Medical Officer and as a member of the executive team. Bruce Given, M.D., who previously served as the Company's Chief Operating Officer and head of Research and Development until his retirement on May 1, 2020, will assist the Company in the orderly transition of Dr. San Martin's departure in Dr. Given’s new role as Chief Medical Scientist.
