Item 8.01 Other Events.

On July 21, 2021, Aspen Group, Inc. received a payment of $498,120 as a final distribution by the bankruptcy trustee in the previously disclosed Higher Education Management Group, Inc. bankruptcy proceedings. The bankruptcy filing occurred after Aspen Group, Inc. obtained a $772,793 judgment against Higher Education Management Group, Inc. No further assets are available for distribution.
