Item 2.02. Results of Operations and Financial Condition.

On May 12, 2025, AST SpaceMobile, Inc. (“AST SpaceMobile” or the “Company”) issued a press release announcing financial results for the three months ended March 31, 2025. A copy of the press release is attached hereto as Exhibit 99.1.

The Presentation will also be available on the Company’s website at www.ast-science.com.
