Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 4, 2022, Maria Sainz notified Atrion Corporation (the “Company”) that she has accepted an offer to become the President and Chief Executive Officer of Hyperfine, Inc., a publicly-traded company, effective October 24, 2022. Given her new responsibilities, she tendered her resignation from the Company’s Board of Directors, which will be effective on October 21, 2022. The Company appreciates Ms. Sainz’s service and wishes her well in her new endeavor.

Ms. Sainz’s resignation was not a result of any disagreement with the Company, the Company’s management, or the Company’s Board of Directors.
