Explanation of Responses:

1. Reflects supplemental annual equity awards due to an administrative error in the calculations used to determine the original number of shares underlying the annual equity awards.

2. Subject to Grantee's continued status as an Employee of the Company, the Restricted Stock Units ("RSUs") shall vest with respect to one-fourth (1/4th) of the RSUs on each of July 1, 2024, January 1, 2025, July 1, 2025 and January 1, 2026, subject to acceleration in certain events.

3. Subject to Optionee's continued status as an Employee of the Company, Options shall vest and become exercisable with respect to one-fourth (1/4th) of the Shares subject thereto on each of July 1, 2024, January 1, 2025, July 1, 2025 and January 1, 2026, subject to acceleration in certain events.
