Item 1.01. Entry into a Material Definitive Agreement

On May 12, 2023 (the “Effective Date”), Augmedix Operating Corp., a Delaware corporation (the “Company”), and subsidiary of Augmedix, Inc., entered into a Statement of Work (the “SOW”) with Baylor St. Luke’s Medical Group (the “Client”), an affiliate of CommonSpirit Health, a Colorado non-profit corporation (“CommonSpirit”), pursuant to the Services Agreement between the Company and CommonSpirit, dated September 1, 2015. Pursuant to the SOW, the Company will make available the Augmedix Solution at the Client’s facilities.

A copy of the SOW is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference. The foregoing description of the SOW does not purport to be complete and is qualified in its entirety by reference to the full text of the SOW.
